Terms of Service

These Terms of Service ("Terms") govern your access to and use of The Vial — Peptide Calculator mobile application and the website at theformularie.com (collectively, the "Service"), operated by The Formularie ("we," "us," or "our").

1. Eligibility and research-only acknowledgement

You must be at least 18 years old to use the Service.

The Service provides educational and research tools for people who are independently researching peptides. By using the Service, you acknowledge and agree that:

• The Service is for research and educational purposes only and does not constitute medical advice, diagnosis, or treatment
• The Service is not a substitute for consultation with a licensed healthcare provider
• You will not rely on the Service to make medical decisions, including decisions about whether to start, stop, or modify any substance or therapy
• You are solely responsible for any actions you take based on information obtained through the Service
• The Service does not prescribe medications or recommend treatments for any condition
• Peptide products sold through the Service (where available) are research compounds for in-vitro and educational use, not for human consumption, regardless of any user-generated content suggesting otherwise

If you are using or intend to use any peptide for any purpose, consult a licensed physician. Stop using the Service and seek immediate medical attention if you experience any adverse symptom.

2. Your account

To use most features, you must create an account. You agree to:

• Provide accurate, complete information during registration and keep it current
• Maintain the confidentiality of your password and any biometric authentication you enable
• Notify us at [SUPPORT EMAIL] immediately if you suspect unauthorized access
• Be responsible for all activity occurring under your account

We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or created risk to us or other users.

3. AI features (Pro)

The Service includes optional AI-powered features ("AI Features") that generate text-based educational content based on summaries of your protocol and outcome data. AI Features:

• Are powered by third-party AI models (Anthropic Claude) that may produce inaccurate, incomplete, or misleading output
• Do not constitute medical advice and must not be relied on for medical decisions
• May change or be removed at any time
• Are subject to your active Pro subscription (where applicable)

You are solely responsible for evaluating the accuracy and applicability of any AI-generated text before acting on it. We do not warrant that AI Features will be error-free, available without interruption, or produce any specific outcome.

4. Sale of peptide products (where applicable)

Where the Service offers peptide products for purchase:

4.1 Order acceptance

Your placement of an order is an offer to purchase. We may accept or refuse any order at our discretion. Acceptance occurs only when we ship the product or send a confirmation email indicating shipment.

4.2 Pricing and payment

• All prices are listed in U.S. dollars and are subject to change without notice
• Sales tax is calculated and collected based on your shipping address
• Payment is processed by Stripe; you authorize us to charge your payment method for the full order amount including taxes and shipping
• If a payment fails, your order will be canceled

4.3 Promotional codes

Promotional codes are subject to terms displayed at the time of redemption (minimum purchase, expiry, per-user limits, eligible products). Codes have no cash value and may be revoked if obtained fraudulently.

4.4 Shipping

Products are shipped to U.S. addresses only unless otherwise indicated. Shipping times are estimates and not guaranteed. Risk of loss passes to you upon delivery to the carrier.

4.5 Returns and refunds

Due to the research nature of the products, all sales are final unless the product arrives damaged or materially differs from its listing. Damaged-on-arrival or wrong-item claims must be reported to [SUPPORT EMAIL] within 7 days of delivery, with photographic evidence. Approved refunds are processed back to the original payment method within 14 days.

4.6 For research use only

All peptide products are sold strictly for research and laboratory use and are not intended for human consumption, ingestion, injection, topical application, or therapeutic use. By placing an order you certify that you are purchasing for legitimate research purposes and that you will handle the products in compliance with applicable laws and regulations.

5. Acceptable use

You agree not to:

• Use the Service to violate any law or regulation
• Misrepresent your age, identity, or the purpose of your use
• Attempt to access another user's account or data
• Reverse-engineer, decompile, or attempt to extract source code from the Service except as permitted by law
• Use the Service to facilitate the consumption, distribution, or marketing of peptide products as drugs, supplements, or medical treatments
• Generate or share content that is unlawful, threatening, abusive, defamatory, or fraudulent
• Use automated tools (scripts, bots, scrapers) to access the Service without our written permission
• Resell, sublicense, or commercialize the Service or its outputs without our written permission

We reserve the right to suspend or terminate accounts that violate this section.

6. User content

You retain ownership of any content you create in the Service (saved protocols, outcome logs, notes). By creating content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display that content solely for the purpose of providing the Service to you. We do not use your protocol or outcome data for training AI models, marketing to other users, or sale to third parties.

You are solely responsible for the content you create. If you input information that violates someone else's rights or any law, you bear that liability.

7. Intellectual property

The Service, including all software, designs, text, graphics, AI prompts, peptide research summaries, and trademarks, is owned by The Formularie or our licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service for your personal, non-commercial research purposes, subject to these Terms.

You may not copy, modify, distribute, sell, or create derivative works of the Service or its content, except as expressly permitted in these Terms.

8. Subscriptions (where applicable)

Pro features are available via subscription. By starting a subscription, you authorize recurring billing at the displayed price and interval until you cancel. Cancellation takes effect at the end of the then-current billing period; you retain access to Pro features until then. We do not refund partial billing periods.

We may change subscription pricing with at least 30 days' notice. Continued use after the new price takes effect constitutes acceptance.

9. Termination

You may stop using the Service and delete your account at any time. We may terminate your access immediately, without notice, if we reasonably believe you have:

• Violated these Terms
• Created risk of harm to us, other users, or the public
• Engaged in fraud or abuse of payment systems
• Created a chargeback dispute we deem unwarranted

Upon termination, your access ends, your account is deactivated, and your data is handled per our Privacy Policy. Sections of these Terms that by their nature should survive termination (such as IP, disclaimers, limitation of liability, and arbitration) survive.

10. Disclaimers

The service is provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory. We expressly disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Information or AI-generated content provided through the Service is accurate, complete, or reliable
• The peptide-related content reflects current medical or scientific consensus
• Any dosage calculation, schedule, or insight generated by the Service is appropriate for any individual or use case

The Service is not a medical device. It has not been evaluated, cleared, or approved by the U.S. Food and Drug Administration or any equivalent regulatory body in any other jurisdiction. It is not intended to diagnose, treat, cure, or prevent any disease or condition.

11. Limitation of liability

To the maximum extent permitted by applicable law, The Formularie, its officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, personal injury, or property damage, arising from or related to your use of (or inability to use) the service — regardless of the legal theory, even if we have been advised of the possibility of such damages.

Our total cumulative liability arising out of or relating to these terms or the service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the liability or (b) USD $100.

Some jurisdictions do not allow certain limitations of liability or warranty exclusions, so some of the above may not apply to you. In those cases, our liability is limited to the minimum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless The Formularie and its officers, directors, employees, agents, and licensors from any third-party claim, loss, damage, or expense (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law or third-party right
• Any content you create, upload, or transmit through the Service
• Any decision you make or action you take based on information from the Service

We reserve the right to assume the exclusive defense of any matter for which you are obligated to indemnify us, in which case you agree to cooperate with our defense.

13. Governing law

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

For any claim not subject to arbitration (Section 14), you and we agree to the exclusive jurisdiction of state and federal courts located in New Mexico, and waive any objection to that venue.

14. Dispute resolution and arbitration

14.1 Informal resolution first

Before filing any formal claim, you agree to contact us at [SUPPORT EMAIL] with a description of the dispute and a proposed resolution. We will work with you in good faith for 30 days to resolve the matter informally before any formal proceeding.

14.2 Binding arbitration

If informal resolution fails, you and we agree to resolve any dispute arising from these Terms or the Service through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in New Mexico or remotely. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class-action waiver

You and we agree that any dispute will be resolved on an individual basis and not as a class, collective, or representative action. The arbitrator may not consolidate claims of multiple users.

14.4 Exceptions

This arbitration agreement does not apply to:

• Small-claims court actions for individual claims within that court's jurisdiction
• Actions to enforce intellectual-property rights or restrain unauthorized use of the Service
• Disputes that, as a matter of law, cannot be arbitrated

14.5 30-day opt-out

You may opt out of this arbitration agreement by emailing [SUPPORT EMAIL] within 30 days of first agreeing to these Terms, with the subject line "Arbitration Opt-Out" and your account email in the body. Opting out does not affect the rest of these Terms.

15. Apple App Store and Google Play additional terms

If you obtained the Service from the Apple App Store or Google Play, the following additional terms apply:

• These Terms are between you and us, not between you and Apple or Google
• We are solely responsible for the Service and its content
• Apple and Google are not responsible for providing maintenance, support, or addressing claims relating to the Service
• Apple and Google are third-party beneficiaries of these Terms and may enforce them against you
• You will use the Service only on a device that you own or control and only as permitted by the App Store / Play Store rules

16. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective date" at the top and notify you in-app, by email, or both at least 14 days before the new Terms take effect. Continued use after the new Terms take effect constitutes acceptance.

If you do not agree to the new Terms, stop using the Service before the effective date and contact us to delete your account.

17. Miscellaneous

• Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and us regarding the Service
• Severability: if any provision is unenforceable, the rest of the Terms remain in effect
• No waiver: our failure to enforce any provision is not a waiver of that provision
• Assignment: you may not assign these Terms; we may assign them to an affiliate or in connection with a corporate transaction
• Force majeure: neither party is liable for delays caused by events beyond reasonable control (natural disasters, pandemics, government actions, network outages)
